La cooperativa Gff ha emesso un primo pacchetto “solidale” di un milione di azioni. Parte la prima tappa dell’azionariato popolare, costituita dalla campagna “100 per 10.000”. La reindustrializzazione dal basso fa un altro passo in avanti.
Un milione di euro di azioni che sarà chiamato “pacchetto solidale” ed è rivolto a cittadine e cittadini, associazioni, movimenti, lavoratrici e lavoratori, delegate e delegati sindacali, solidali, che diventeranno così parte dell’assemblea della cooperativa, esercitando un controllo sociale sul processo di reindustrializzazione.
Con l’azionariato popolare si crea un esperimento unico nel suo genere, dove nella stessa assemblea potranno sedere dalle cittadine e i cittadini di Campi Bisenzio, di Firenze e provincia, fino ai movimenti climatici e sociali internazionali, le comunità energetiche, i circoli Arci ecc.
Il primo socio finanziatore sarà ovviamente la Soms Insorgiamo, associazione del dopolavoro, del mutualismo dei dipendenti Gkn.
I lavoratori, il territorio, le competenze solidali, i movimenti climatici e sociali, hanno difeso la fabbrica prima dalla speculazione finanziaria, oggi dal rischio della speculazione, questa resistenza si è fatta progetto. Ha partorito un piano di reindustrializzazione dal basso, con l’obiettivo di ridare al territorio i posti di lavoro bruciati, creare una fabbrica socialmente integrata al servizio della collettività che l’ha difesa, ripartire con produzioni ecologicamente avanzate, con una struttura di controllo e decisione cooperativa e socialmente avanzata, con una comunità solidale e basata sul mutuo aiuto reciproco. Questo piano non cade dal cielo, ma da due anni di rinvii e immobilismo da parte di un capitale privato assente e incapace. Il tempo gioca contro di noi. Ogni giorno che passa la resistenza diventa sempre più difficile e questo è il calcolo della nostra controparte. Il tempo è ora: spiccare il volo o cadere. Ci meritiamo una vita migliore, noi e tutta la nostra solidarietà, si merita di vedere nascere sotto l’impulso della lotta un polo produttivo a servizio della mobilità sostenibile e un polo di avanguardia delle energie rinnovabili. La sede legale è a Pontedera presso il commercialista. Quando partirà l’attività produttiva sarà aperta la sede operativa a Campi Bisenzio.
I tagli sono da €100,00 cadauno per dare la possibilità a chi vuole partecipare alla vita sociale della cooperativa e non può investire €500,00; di formare un gruppo di persone che, investendo una minima quota ciascuna, designano un loro rappresentante che sarà iscritto al libro soci finanziatori.
Esempio : siamo 5 amici, mettiamo 100€ ciascuno e sottoscriviamo un pacchetto da 500€, la domanda di ammissione a socio la farà uno solo di noi ed egli esprimerà un voto nelle assemblee e riceverà il rendimento annuale sugli utili. Detto rendimento ce lo divideremo come fanno i buoni amici 😀
Le domande di ammissione dovranno essere inviate alla GFF per posta elettronica certificata o per posta elettronica ordinaria o a mezzo raccomandata con ricevuta di ritorno, entro il 30/06/2024. Il CdA risponderà entro la fine del mese successivo ovvero 31/07/2024.
Il socio finanziatore ordinario sarà tale, quando avrà versato l’intero capitale sottoscritto a questo punto sarà iscritto nella sezione del libro dei soci finanziatori e potrà partecipare alle assemblee.
Quando il CdA avrà emessa delibera di ammissione e il richiedente avrà ricevuta la comunicazione di ammissione, nella stessa riceverà anche le istruzioni sul versamento che per importi fino a €5.000,00, dovrà avvenire entro 15 giorni dalla data di ricezione; per la parte eccedente avrà un ulteriore periodo di un mese, ma può anche scegliere di versare in un unica soluzione.
Ti sarà comunicato formalmente, entro il mese successivo alla data di scadenza per la presentazione delle richieste di ammissione a socio ovvero luglio 2024.
Per tutti gli esercizi finanziari maturerà un rendimento fisso dello 0,25% a prescindere se la GFF conseguirà un utile. Nell’esercizio in cui si avrà un utile, allora il socio finanziatore avrà ciò che è maturato nell’anno precedente di rendimento fisso più lo 0,25% dell’anno appena terminato più il rendimento del tasso medio degli interessi dei BFP dell’anno di competenza più un ulteriore 0,25%

The registered office is in Pontedera at the accountant’s. When the production activity starts, the operational office will be opened in Campi Bisenzio.
The shares are €100.00 each to give those who want to participate in the social life of the cooperative and cannot invest €500.00 the opportunity to form a group of people who, by investing a minimum share each, designate one of their representatives who will be entered in the shareholder-financier register.
Example: we are 5 friends, we each put in 100€ and subscribe a 500€ package, only one of us will apply to become a member and he will cast a vote in the meetings and receive the annual return on profits. We will share this return as good friends do.
Applications for admission must be sent to the GFF by certified or ordinary e-mail or by registered mail with acknowledgement of receipt by 30/06/2024. The BoD will reply by the end of the following month, i.e. 31/07/2024.
The ordinary financing member will become so when he/she has paid up the entire subscribed capital. At this point he/she will be entered in the section of the financing members’ book and will be able to participate in the meetings.
Once the Board of Directors has issued the admission resolution and the applicant has received the admission notice, in the same notice he will also receive instructions on how to pay in. For amounts up to €5,000.00, it must be done within 15 days from the date of receipt; for the excess the applicant will have an additional period of one month, but he/she may also choose to pay in a lump sum.
You will be formally notified, within the month following the deadline for submitting applications for membership, i.e. July 2024
For all financial years, a fixed yield of 0.25% will be earned regardless of whether GFF makes a profit. In the financial years in which there will be a profit, the financing partner will have what accrued in the previous year of fixed return plus 0.25% of the year just ended plus the return of the average interest rate of the postal savings certificates for the year plus an additional 0.25%

Die Genossenschaft GFF gibt ein erstes “Solidaritätspaket” von Anteilen im Wert von einer Million Euro aus. Die erste Etappe der Kampagne “100 mal 10.000” zur Beteiligung der Zivilgesellschaft an der Genossenschschaft beginnt. Die Reindustrialisierung von unten kommt einen weiteren Schritt voran.
Diese erste Million Aktien werden als “Solidaritätspaket” bezeichnet und richten sich an Bürger:innen, Vereine, Bewegungen, Arbeitnehmer:innen, Gewerkschaftsdelegierte und solidarische Gruppen, die dadurch an den Versammlungen der Genossenschaft teilnehmen und hierdurch Einfluss auf den Reindustrialisierungsprozess ausüben können.
Mit der Beteiligung der Zivilgesellschaft wird ein einzigartiges Experiment geschaffen, bei dem die Bürger:innen von Campi Bisenzio, Florenz und seiner Provinz, gemeinsam mit Personen aus verschiedenen (ökosozialen) Bewegungen, Energiegemeinschaften, usw. in derselben Versammlung sitzen können.
Der erste Finanzierungspartner wird natürlich SOMS Insorgiamo sein, der im letzten Jahr aus der Fabrik heraus gegründete Arbeiterhilfeverein. Er dient der soziokulturellen Entwicklung und der gegenseitigen Selbsthilfe der Arbeiter:innen von ex-GKN.
Die Arbeiter:innen, das Umfeld der Fabrik, die solidarischen Gruppen, die Klima- und sozialen Bewegungen haben die Fabrik zunächst gegen Finanzspekulationen und heute gegen das Risiko von Spekulationen verteidigt, und dieser Widerstand ist zu einem Projekt geworden. Er hat einen Plan zur Reindustrialisierung von unten ins Leben gerufen, mit dem Ziel, a) dem Gebiet die vernichteten Arbeitsplätze zurückzugeben, b) eine sozial integrierte Fabrik im Dienste der Gemeinschaft, die sie verteidigt hat, zu schaffen, c) mit einer ökologisch fortschrittlichen Produktion, d) einer genossenschaftlichen und sozial innovativen Kontroll- und Entscheidungsstruktur, sowie e) mit einer auf gegenseitiger Hilfe basierenden solidarischen Gemeinschaft die Produktion neu zu beginnen. Dieser Plan fällt nicht vom Himmel, sondern ist das Ergebnis von zwei Jahren Aufschub und Untätigkeit durch ein abwesendes und unfähiges Privatkapital. Die Zeit spielt gegen uns. Mit jedem Tag, der vergeht, wird der Widerstand schwieriger, und das ist das Kalkül unseres Gegenübers. Die Zeit ist jetzt gekommen: fliegen oder fallen. Wir haben ein besseres Leben verdient, wir und unsere ganzen solidarischen Unterstützer:innen. Wir haben es verdient als Ergebnis dess Kampfes ein Modellprojekt im Dienste der nachhaltigen Mobilität und eine Avantguarde-Produktion erneuerbarer Energien entstehen zu sehen. Der eingetragene Sitz befindet sich in Pontedera beim Buchhalter. Wenn die Geschäftstätigkeit aufgenommen wird, wird das operative Büro in Campi Bisenzio eröffnet.
Die Stückelung beträgt 100,00 €, um denjenigen, die an der Genossenschaft teilnehmen wollen, aber keine 500,00 € investieren können, dazu die Möglichkeit zu geben. Diese Personen können eine Gruppe bilden und einen gemeinsamen Anteil erhalten für den sie einen Vertreter benennen und als Anteilseigner eintragen lassen.
Beispiel: Wir sind 5 Freunde, jeder von uns investiert 100 € und wir zeichnen gemeinsam einen Anteil von 500 €. Einer von uns beantragt die Mitgliedschaft in der Genossenschaft und erhält eine Stimme in den Versammlungen sowie die jährliche Gewinnrendite. Anschließend werden wir diese Rendite teilen, wie es gute Freunde tun.
Die Zulassungsanträge müssen bis zum 30.06.2024 per Einschreiben mit Rückschein oder unterschrieben und gescannt per E-Mail an die GFF gesendet werden. Der Vorstand antwortet bis zum Ende des Folgemonats, d.h. bis spätestens zum 31.07.2024. Vorher wird kein Geld eingezogen.
Die ordentliche Mitgliedschaft in der Genossenschaft beginnt, sobald die/der Bewerber:in das Geld für den von ihr/ihm gezeichneten Anteil eingezahlt hat. Zu diesem Zeitpunkt wird er in das Register der Genossenschaft eingetragen und kann an den Versammlungen teilnehmen.
Wenn der Verwaltungsrat den Zulassungsbeschluss gefasst und der Antragsteller den Zulassungsbescheid erhalten hat, erhält er mit diesem Bescheid auch Anweisungen für die Einzahlung, die bei Beträgen bis zu 5.000,00 € innerhalb von 15 Tagen nach Erhalt des Bescheids erfolgen muss; für den darüber hinausgehenden Betrag hat er eine zusätzliche Frist von einem Monat.
Wenn das Projekt nicht startet, wird Ihr Geld gar nicht erst eingezogen. Sie werden darüber innerhalb des Monats nach Ablauf der Antragsfrist für die Mitgliedschaft, d. h. im Juli 2024, förmlich benachrichtigt. Wenn das Projekt wirtschaftlich scheitert, können Sie nicht mehr Geld verlieren als Sie eingezahlt haben. Die finanziell beteiligten Genossenschaftsmitglieder sind im Falle einer Liquidation vorrangig auszuzahlen, d.h. vor anderen Gläubigern.
Grundsätzlich gilt:
Um die Spekulation mit Genossenschaftsanteilen zu unterbinden ist die maximal auszahlbare Rendite für diese Art von Genossenschaft in Italien an die durchschnittliche Rendite von Postsparanleihen mit einer Laufzeit von 3 Jahren gekoppelt.
Im Fall von GFF gilt:
Die finanziell Beteiligten Mitglieder erhalten jedes Jahr, in dem Gewinn erzielt wird, eine maximale relative Vergütung in Höhe der durchschnittlichen Rendite von Postsparanleihen mit einer Laufzeit von 3 Jahren, zuzüglich einer von der Genossenschaft festgelegten zusätzlichen Vergütung von 0,25 % über diesem Durchschnitt.
Darüber hinaus fällt jedes Jahr eine fixe Rendite von 0,25% an, unabhängig davon, ob die GFF einen Gewinn erzielt. Diese wird allerdings nur – dann in kumulierter Form – ausgezahlt, sobald Gewinn erzielt wird. Heißt: In dem Geschäftsjahr, in dem ein Gewinn erzielt wird, erhält der/die Genoss:in die im Vorjahr angefallene feste Rendite plus 0,25% der festen Rendite des abgelaufenen Jahres plus die durchschnittlichen Rendite von Postsparanleihen (z.B. 3%) plus weitere 0,25% („Zusatzbetrag der von GFF festgelegt ist“).
BEISPIEL für die maximale Vergütung:
- 500€ Nennwert meines Anteils
- Jahr 00 kein Gewinn = 0,25% fest = 1.25€ (bleibt in der Kasse der Genossenschaft)
- Jahr 01 Gewinn erzielt = 0,25% fest = 1,25€ +
